You grant The Boris Lawrence Henson Foundation, Inc. (“Foundation”) and their respective employees, affiliates, representatives, and agents (the “BLHF Parties”) the unlimited, worldwide, perpetual and gratis right and license to use, edit, copy, display, and sublicense your embodied image and likeness that are owned, controlled and/or licensable by you, all as contained therein, in each case via any and all technologies now known or hereafter created, through any and all Foundation and third-party (including press and media outlets) platforms, including without limitation, websites, applications and digital media platforms, for the purpose of making available Your Photographs to the public, reporting on, promoting and marketing Foundation and/or events, and for any archival and educational uses (“Permitted Uses”). You warrant, you are at least 18 years old and have the full right and authority to enter into this agreement and to grant to the BLHF Parties the rights granted herein; (b) you have the right to perform in connection with the Event and (c) except for copyright licenses which shall not be your responsibility, you have obtained all necessary consents and approvals from any and all third parties in order to do so (including without limitation record labels and music publishers). You agree to indemnify, and hold harmless the BLHF Parties and their respective officers and directors from and against any claims, actions, demands, suits, losses, liabilities, damages costs or expenses (including attorney’s fees) arising out of or in connection with Your Photographs, your performance and the BLHF Parties’ Permitted Uses. You release the BLHF Parties and their respective officers and directors from any and all claims which you may now or hereafter have against any of them in connection with your Recording, your performance and the Permitted Uses. To the extent permitted by applicable law, none of the BLHF Parties will not be responsible to you for: (x) losses that were not caused by any BLHF Party’s breach of their respective obligations; (y) any loss of profits, loss of revenues, loss of reputation, indirect or consequential losses, or punitive damages (in all cases whether such losses were foreseeable or not) and/or (z) any third-party claim for actual or alleged infringement of intellectual property rights. Any controversies and claims arising from or relating to this Appearance Release will be brought in the city and state of California. This Appearance Release will be governed by and construed in accordance with the laws of the State of California, without regard to choice of law rules. By signing below, I warrant that I have read, understand and agree to its terms.
